Choosing the Legal Form

Concept Individual Entrepreneur (Freelancer) Limited Company (S.L.) Public Limited Company (S.A.)
No. of Partners Minimum 1 Minimum 1 Minimum 1
Liability Unlimited (Personal assets) Limited to the capital contributed Limited to the capital contributed
Minimum Capital Not legally established €3,000 (From €1 with conditions) €60,000

Recommendation:

If you are starting alone and your risk is low, registering as a freelancer is the fastest way. If you have partners or expect high profits from the start, an S.L. protects your personal assets.

Steps to Incorporate a Limited Company (S.L.)

01

Corporate Name Certification

You must request a certificate from the Central Mercantile Registry stating that the name you have chosen for your company is not already registered. Up to 5 names can be proposed in order of preference. This certificate is valid for 6 months, although it is only valid for the notary for 3 months from its issuance.

02

Opening a Bank Account and Social Capital

Once the name certificate is obtained, you must go to the bank and open an account in the name of "Society in Formation." Here you will deposit the minimum capital (usually €3,000). The bank will give you a certification that you must present to the notary. Note: It is currently possible to incorporate with €1 but with certain legal restrictions on reserves.

03

Public Deed and Bylaws

It is time to visit the notary. All founding partners must sign the Deed of Incorporation. The Social Bylaws are the "rules of the game" of the company: social object, address, administration regime, etc. It is vital to have a legal advisor to draft bylaws that prevent conflicts between partners.

04

Provisional NIF and Tax Registration

With the copy of the deed, you must go to the Tax Agency to request the provisional Tax Identification Number (NIF). You must also submit Form 036 to register the economic activity and the census of entrepreneurs.

Are you a foreigner and want to start a business?

Spain has an Entrepreneur's Law that facilitates specific visas for investors and startup founders. However, the first indispensable step is to obtain a NIE (Foreigner Identity Number). Without it, you cannot sign deeds or open bank accounts.

Entrepreneur Visa

For innovative projects of special economic interest.

Double Taxation Treaties

Consult agreements to avoid paying taxes twice.

The Day After: Your Tax Obligations

Starting the company is just the beginning. Legal maintenance is key to avoiding penalties.

Value Added Tax (VAT/IVA)

Quarterly submission of Form 303. Remember to correctly deduct incorporation expenses.

Corporate Tax

The general rate in 2026 remains competitive to attract investment, taxing the entity's net profit.

Social Security (RETA)

As an administrator, you must register in the self-employed regime (autónomo societario) if you have control of the company.

Common Errors When Starting a Business in Spain

1. Social object too narrow

If you only describe a very specific activity, any change in your business model will require going back to the notary to modify the bylaws. Be broad but precise.

2. Error in IAE classification

Choosing the wrong heading in the Economic Activities Tax (IAE) can prevent you from accessing certain deductions or applying a VAT that doesn't correspond to you.

3. Not signing a Shareholders' Agreement

The deed is the legal basis, but a private agreement regulates what happens if a partner wants to leave, how shares are sold, or who has real decision-making power.

4. Confusing trade name with corporate name

The corporate name (denominación social) is for invoices and procedures; the trade name (brand) is what the public sees. Both must be protected in the OEPM.

Frequently Asked Questions (FAQ)

How long does it take to create an S.L. in Spain? ▼

Via telematic route (CIRCE), it can be ready in 48-72 business hours. Via the ordinary route, the process usually takes between 15 and 30 days due to the deadlines of the Mercantile Registry.

Can I start a company with 1 euro? ▼

Yes, since the "Crea y Crece" Law. However, you must allocate 20% of the profits to a legal reserve until it reaches €3,000, and in case of liquidation, the partners are jointly and severally liable for that difference.

Is the use of a Digital Certificate mandatory? ▼

Absolutely. Companies are obliged to interact electronically with the Administration. We recommend you check how to obtain the digital certificate and Cl@ve.

What is the IAE? ▼

It is the Economic Activities Tax. Although most SMEs are exempt from payment (if they invoice less than €1M), registration is mandatory to classify your activity.

Can I register my company at my home address? ▼

Yes, it is legal. But keep in mind that the registered office address will be public in the Mercantile Registry. Many entrepreneurs opt for business centers or coworkings for privacy.

Do I need public liability insurance? ▼

It is not mandatory for all activities, but it is highly recommended to protect the company's assets against claims from third parties.
